These General Terms and Conditions (GTC) apply to all business transactions with mindyourstep GmbH (hereinafter “mys”). They govern the contractual relationship between the client and mindyourstep GmbH.

Conclusion of Contract
Unless otherwise agreed, offers from mys are valid for 30 days. A contract is only concluded upon written confirmation of the assignment by the client. Assignments can be submitted to mys via email, postal mail, personal handover, or through the automated acceptance function in BEXIO. mys reserves the right to reject assignments without providing reasons and may interrupt, shorten, or prematurely terminate an assignment if the client obstructs or prevents the fulfilment of the contract, or if the client is in default of payment.

Liability
mys executes all assignments with care, necessary quality, and discretion. However, mys accepts no liability for the outcome of its services. Any claims for damages of any kind are expressly excluded.

Data Protection and Confidentiality

mys places the highest importance on data protection and considers it the foundation of a trustworthy relationship with clients and customers. We respect the privacy and confidentiality of personal data, as well as personal and company-specific information made available to us as part of our mandates, to ensure their protection.

mys implements appropriate and suitable technical precautions and security measures to protect data against unauthorized access, modification, disclosure, or deletion. All information from client projects is treated with absolute confidentiality and the utmost care. This also includes that no data will be shared with third parties without explicit consent.

Typically, we collect data from the following categories: resumes/CVs and contact details, including interview notes or third-party comments. The collection of personal and confidential data at mys is governed by the following principles:

• By submitting a resume or other data to mys, the individual consents to the inclusion of their data in our database.
• mys strives to establish a trustworthy and long-term relationship with clients and customers in order to provide long-term support if needed. Consent to data storage can be withdrawn at any time, and data deletion can be requested.
• mys is the sole owner of the personal data and uses it exclusively for consulting purposes within the legally permissible or required framework.
• Data from client projects will be deleted or destroyed 12 months after completion.
• As data traffic security cannot be fully guaranteed, mys assumes no liability for resulting damages. In particular, mys assumes no liability for the actions or negligence of third parties that may alter, delete, or otherwise damage data.

Cancellation Conditions

• Consulting: If the client terminates a consulting project prematurely, all expenses incurred up to that point, plus 50% of the outstanding agreed expenses, are payable.
• Board & C-Suite: If the client terminates a consulting project prematurely, all expenses incurred up to that point, plus 50% of the outstanding agreed expenses, are payable. Once the program has started, all amounts stated in the offer are due, even if the program is terminated early. For health reasons or extended absences, the program may be paused, but for no longer than 3 months.
• Career Cycle Management and Leadership & Talent Development: After a non-binding and free initial consultation, the amounts stated in the offer are due upon program start, even if the program is terminated early. For health reasons or extended absences, the program may be paused, but for no longer than 3 months.
• Potential Development and Management Assessment: If cancelled less than 14 days before the agreed date of the Potential Development procedures and/or Management Assessments, 50% of the costs will be charged. If cancelled less than 7 days before the start, the full amount as per the written offer will be charged.
• Training: If cancelled less than 45 days before the training date, 50% of the seminar price will be charged. If cancelled less than 30 days before, the full seminar price will be charged. In the event of no written cancellation or no-show by individual participants, the full seminar cost is still due.

Expenses and Third-Party Costs
Travel expenses (1st class rail or CHF 0.85/km by car), meals, or accommodation (hotel booking and choice to be made by the client) will be charged based on actual costs. Costs for third-party services such as translations, production of materials, etc., will be borne by the client or invoiced accordingly.
All of this applies unless otherwise agreed in advance with the client. As a rule, mys includes potential expenses in its offers, so the client incurs no additional costs.

Severability Clause
Should any of these provisions or parts thereof be or become invalid, the validity of the remaining provisions shall not be affected. The invalid provision shall be replaced by a provision that most closely reflects its economic intent.

Jurisdiction
The GTC of mys are governed by Swiss law. The exclusive place of jurisdiction is Zurich.
